Customer terms
This is a translation of the Swedish Kundvillkor. In case of differences, the Swedish version prevails.
1. Parties and scope
1.1 These customer terms apply between clearminds AB, reg. no. 559476-7971, Luntmakargatan 26, Stockholm (“clearminds”), and the company that orders the Service (the “Customer”). The Service is intended for operators of office hotels and coworking spaces.
1.2 The terms apply to the nodus service, that is the admin app, the member portal, kiosks and screens, and the Service’s integrations.
1.3 If an order or an agreement that the parties have signed contains provisions that differ from these terms, the order or agreement takes precedence over the terms.
1.4 The order or agreement that the Customer signs refers to these terms and to the current version at https://nodus.se/villkor. Through that reference, the terms become part of the agreement between the parties.
2. Definitions
In these terms, the following words have the meaning set out below.
- Service: the nodus service that clearminds provides under these terms, including the admin app, the member portal, kiosks and screens, and integrations.
- Customer: the company that has ordered the Service under section 1.1.
- Customer Data: all data that the Customer, its users or its Tenants/Members enter into the Service, or that the Service retrieves from the Customer’s Third-Party Services on the Customer’s behalf.
- Tenant/Member: the Customer’s own customers, for example companies that rent offices from the Customer, and the people who use the Service on their behalf.
- Third-Party Service: a service provided by someone other than clearminds that the Service connects to, for example Fortnox.
3. The service
3.1 The Service is a platform for running office hotels and coworking spaces. Among other things, it covers:
- management of Tenants/Members and leases,
- access control and permissions,
- network and Wi-Fi,
- meeting rooms and bookings,
- digital signage and messages,
- an AI assistant that answers Tenants’/Members’ questions and can book meeting rooms at their request, and AI-assisted interpretation of leases,
- a member portal for Tenants/Members, and
- invoicing of Tenants/Members through the Customer’s Fortnox.
3.2 clearminds may develop and change the Service. Changes that materially reduce the Service’s functionality are notified to the Customer at least 30 days in advance.
3.3 The assistant’s answers and suggestions are generated automatically and may contain errors. The Customer reviews the lease details suggested by the AI interpretation before they are used.
4. Accounts and users
4.1 The Customer appoints one or more administrators who manage the Customer’s account in the Service.
4.2 The Customer is responsible for its users and for how they use the Service. The Customer is also responsible for the access that the Customer gives its Tenants/Members.
4.3 Login credentials are personal and must be protected. The Customer must notify clearminds without delay if the Customer suspects that login credentials have fallen into the wrong hands.
4.4 The Customer shall ensure that its Tenants/Members are informed of and comply with the member portal terms of use (https://nodus.se/en/member-terms).
4.5 The Customer’s own users must not use the Service for anything unlawful, try to gain unauthorised access to systems, accounts or data, interfere with or disrupt the operation of the Service, or try to extract the Service’s source code. In these terms, abuse means use that breaches this section or the member portal terms of use.
5. Third-party services and Fortnox
5.1 The Service connects to Third-Party Services with which the Customer has its own agreements, for example Fortnox, and to the building’s access-control system, which the Customer operates. The Service synchronises access permissions to the access-control system. Tenant networks and Wi-Fi are managed through the Service’s own network management, run by clearminds, and the building’s network equipment. Tenants/Members can themselves choose to sign in through external services, for example Google, Microsoft or Slack, and to connect the Service’s assistant to their own Slack workspace. The Customer’s use of a Third-Party Service is governed by the Customer’s agreement with the provider of that service. The sub-processors that clearminds itself engages are listed in Annex 1.
5.2 To use the Fortnox integration, the Customer needs its own Fortnox licence that covers Invoicing (Fakturering) and Bookkeeping (Bokföring).
5.3 When the Customer connects Fortnox, the Customer gives clearminds permission to read and register, through the Service, customers, articles and payments, as well as invoices, which are created as drafts, in the Customer’s Fortnox company.
5.4 Fortnox is not a party to the agreement between the Customer and clearminds. The availability of Third-Party Services and changes to them are outside clearminds’ control.
5.5 The Customer can disconnect Fortnox at any time under Billing → Connections in the admin app.
6. Fees and payment
6.1 Prices are stated in the quote or order. The Fortnox integration is included in the Service.
6.2 The Service is invoiced by clearminds directly, not through Fortnox.
6.3 Payment terms are 30 days net from the invoice date.
6.4 In case of late payment, clearminds is entitled to late-payment interest under the Swedish Interest Act (räntelagen, 1975:635).
6.5 clearminds may change the prices by notifying the Customer at least three months before the change takes effect.
7. Customer data and personal data
7.1 The Customer owns its Customer Data.
7.2 For personal data about Tenants/Members that clearminds processes on the Customer’s behalf, the Customer is the controller and clearminds is the processor. This does not apply to the data referred to in section 7.4.
7.3 clearminds processes personal data on the Customer’s behalf under the data processing agreement (personuppgiftsbiträdesavtal) in Annex 1 to these terms, published at https://nodus.se/en/data-processing-agreement. Annex 1 contains a list of the sub-processors that clearminds engages. The sub-processors include Google Cloud (Vertex AI and Text-to-Speech), which is used for the AI assistant, the AI-assisted interpretation of leases and speech synthesis of announcements, and Cloudflare, which is used as edge proxy/CDN in front of nodus.se and the Service’s other domains (for example api.nodus.se, app.nodus.se and member.nodus.se) and which serves the admin app and the member portal from Cloudflare Pages.
7.4 clearminds is the controller for network and traffic data (NetFlow: IP addresses, ports, protocols, data volumes, timestamps) and connection logs (RADIUS/DHCP) that link devices to users. The DHCP server’s current assignments shown in the Service are covered by sections 7.2 and 7.3. clearminds processes this data for its own purposes, namely operations monitoring, capacity planning, troubleshooting, customer support, security and the investigation of abuse. From 2026-10-28, connection logs that link devices to users (DHCP, RADIUS and the network system’s client history, including 802.1X identity and device name) are kept for at most 90 days and are then deleted. The processing is not covered by the data processing agreement under section 7.3. The retention periods and legal basis are set out in clearminds’ privacy policy, https://nodus.se/integritet.
8. clearminds’ right to use data
8.1 clearminds may use non-personal, aggregated or anonymised data derived from the Service to develop and improve nodus. This right applies also after the agreement ends.
8.2 Such data never contains personal data and never contains information that identifies the Customer.
9. Security and availability
9.1 clearminds takes reasonable technical and organisational security measures to protect the Service and Customer Data.
9.2 clearminds gives no guarantee of the Service’s availability, unless otherwise stated in the order.
9.3 Planned maintenance is announced in advance when possible.
9.4 Support is provided via [email protected].
9.5 clearminds notifies the Customer without undue delay after becoming aware of a personal data breach concerning personal data that clearminds processes on the Customer’s behalf, in accordance with Annex 1.
10. Confidentiality
10.1 The parties shall keep confidential information that they receive from the other party secret and shall not use it for purposes other than the agreement.
10.2 The confidentiality obligation applies during the term of the agreement and for three years after the agreement has ended.
10.3 The confidentiality obligation does not apply to information that is publicly known, or that a party is required to disclose by law, a decision of a public authority or a court order.
11. Intellectual property
11.1 All intellectual property rights to the Service and to nodus belong to clearminds.
11.2 During the term of the agreement, the Customer receives a non-exclusive right to use the Service in accordance with these terms. The right cannot be transferred.
12. Liability
12.1 Neither party is liable for indirect damage, for example loss of profit, loss of production or loss of data.
12.2 clearminds’ total liability under the agreement is limited to the fees that the Customer has paid for the Service during the twelve months preceding the damage.
12.3 clearminds is not liable for Third-Party Services, their availability or faults in them.
13. Term and termination
13.1 The term of the agreement follows from the order. If the order does not state a term, the agreement runs until further notice with a mutual notice period of three months.
13.2 Either party may terminate the agreement with immediate effect if the other party materially breaches the agreement.
13.3 After the agreement has ended, the Customer can export its Customer Data for 30 days. After that, clearminds deletes the Customer Data that clearminds processes on the Customer’s behalf. Exempted are data under section 8, data that clearminds must keep by law, including clearminds’ own accounting records about the Customer under the Swedish Bookkeeping Act (1999:1078), and network and traffic data under section 7.4, which is deleted in accordance with clearminds’ privacy policy. Bookkeeping data is kept in the Customer’s own Fortnox company and is not covered by the deletion.
14. Changes to the terms
14.1 clearminds may change these terms. A new version is published at https://nodus.se/villkor and notified to the Customer by email at least 30 days before it takes effect.
15. Governing law and disputes
15.1 Swedish law applies to the agreement.
15.2 Disputes arising from the agreement are settled by the general courts, with the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
